Partner Terms

Between ("we", "us") operating , and the business that submits the partner application ("you", "Partner").

1. What we do

We operate a lead generation and referral service. We collect requests from vehicle owners and offer them to independent Partners. We are not a vehicle buyer, dealer, salvage yard, broker of vehicle sales, tow company, motor carrier or repair shop. We do not set your prices, take possession of vehicles, handle customer payments, or transfer titles.

2. Independent business

You are an independent business, not our employee, agent, partner or joint venturer. You alone decide whether to claim a lead, what to offer, and how to perform. You are solely responsible for your offers, pricing, vehicles, drivers, employees, taxes, licensing, permits, registrations and compliance with all laws (including title, salvage, towing, motor carrier and consumer-protection laws where you operate).

3. Insurance and licensing

You represent that you carry active business insurance appropriate to your operations (such as garage-keepers, on-hook or general liability, and commercial auto as applicable) and hold every license, registration and permit the law requires. Keep them in force while you are in the network. We may ask for proof at any time and may suspend or remove you if you cannot provide it. Our collecting a checkbox is not verification and does not make us responsible for your coverage or compliance.

4. How leads work

We email you leads that match your services and coverage. Each lead is offered to one Partner at a time. If it is not claimed within the offer window, we may offer it to another Partner, and it may still be claimed by any Partner it was offered to until one does. Customer contact details are shown only after you claim. There is no guarantee of any volume of leads, that a lead is still available, or that a lead results in a purchase or job. We may change how leads are routed at any time.

4A. Mobile repair Partners

If you offer Mobile repair you represent that you are registered, licensed or otherwise permitted to repair motor vehicles for pay in every state where you work, and that your insurance covers mobile repair work. You will give a written estimate before starting work whenever the law requires one, will not exceed it beyond what the law allows without the customer's approval, will tell the customer before work how replaced parts are handled, and will give an itemized invoice listing parts (new, used, remanufactured or rebuilt) and labor. Any warranty you offer is your own promise. We do not perform, supervise, warrant or guarantee any repair, and we are not responsible for any repair, its cost, or any damage or injury from it.

4B. Passing, re-routing and requests from any area

You may pass on any lead at no charge. Before you claim a lead, you may tell us that it looks better suited to another kind of Partner (for example, a repair request that is not worth fixing, or a junk-vehicle request that looks repairable). We may then offer it to another kind of Partner; a request is re-routed this way once. Passing or re-routing before you claim costs nothing. Requests can come from any area. If no Partner covers a request, we keep it for up to 30 days, retry it as Partners join, and then let it expire. We may use the number and location of unmatched requests, without customer names or contact details, to decide where to recruit Partners.

5. Fees

You pay a flat fee of per lead you claim. There is no fee for leads you do not claim, and we take no percentage of any vehicle price or tow charge. Fees are paid from a prepaid balance: you add funds using the payment method we give you, we record each payment you make, and each claim takes the fee from your balance. If your balance is below the fee you will not be offered leads and cannot claim. If a claimed lead has clearly invalid contact information, or is a duplicate of one you already received, tell us within 48 hours of claiming and we will credit the fee back to your balance. Prepaid funds do not earn interest. If you leave the network, we will refund your unused balance to the payment method you used, within 30 days, less payment-processing fees we cannot recover. At our discretion we may offer invoice terms to a partner (monthly invoicing, due within 7 days) and may return you to prepaid terms at any time. We may change the fee going forward with notice; a fee change does not apply to leads you already claimed.

5A. Decals and brand use

We may offer approved Partners in good standing free window or door decals showing our logo and the words "Independent partner". Decals remain our property and are a limited, revocable license to display our name and logo only as provided. You may not alter them, use our name, logo or tagline anywhere else (ads, signs, websites, social media) without our written permission, or use them in a way that suggests we own, employ or control your business. Do not cover any marking the law requires on your vehicle, and place decals only where the law allows and where they do not block your view or lights. You must remove decals within 14 days after you leave the network or we ask, and you are responsible for removal. We may withdraw decals at any time. Decals do not change that you are an independent business responsible for your own conduct.

6. Rules for dealing with customers

6A. Customer check-ins and standards

We may ask customers whether you contacted them, showed up, and whether the final price differed from your estimate, and we keep the answers. Customer answers are reported to you in general terms and never include customer contact details. If customers report problems, we may warn you, pause new leads to your account while we review (your status becomes "Under review"), or remove you under section 10. If a customer says no one contacted them, we may offer that request to another Partner. Fees already paid for a claimed lead are not refunded for this reason. We may also use anonymous, aggregated numbers about requests and outcomes, without customer names or contact details, to improve the service and to decide where to recruit Partners.

7. Your information and the partner database

We collect only the business and rate information you enter on the application. We do not ask for license numbers, policy numbers, tax IDs or bank details. You agree we may keep your information in our partner database, use it to route leads and administer the network, and transfer it, together with this agreement, to a buyer or successor if our business is sold. We will not publish your rates to customers without telling you first. Keep your information current by contacting .

8. No warranties; limitation of liability

The service is provided "as is" and "as available". To the fullest extent permitted by law, we are not liable for any loss, injury, damage, dispute or claim arising from your dealings with customers or third parties, or for indirect, incidental, special or consequential damages or lost profits. Our total liability to you for any claim is limited to the fees you paid us in the 3 months before the claim arose.

9. Indemnity

You will defend and indemnify us and our owners and affiliates against claims, losses and expenses (including reasonable legal fees) arising from your services, offers, vehicles, drivers, employees, your breach of these terms, or your violation of law.

10. Term, suspension and ending

Either of us may end this agreement at any time by written notice (email is fine). We may suspend or remove you immediately for breach, complaints, lapsed insurance or licensing, or non-payment. Fees for leads already claimed remain payable. Sections that by nature should survive (fees, indemnity, liability, data use) survive.

11. Electronic signature; changes; law

You agree that typing your name and submitting the application is your electronic signature and that you are authorized to bind your business. We may update these terms by posting a new version and notifying you by email; continuing to claim leads means you accept the update. These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules.
